Shuffle Master, Progressive Gaming

Shuffle Master Inc. (NASDAQ Global Select Market:SHFL) ("Shuffle Master") and Progressive Gaming International Corporation (NASDAQ:PGIC) ("Progressive") jointly announced today that they have entered into a non-binding letter of intent, which contains an exclusivity period, for the sale of Progressive's worldwide Table Game division assets to Shuffle Master. The transaction, which is expected to close on or before August 31, 2007, is contingent upon the completion, during the exclusivity period, of a definitive agreement, final due diligence and other customary closing conditions.

Upon completion of the transaction, Shuffle Master, the world's leading provider of specialty table games, would own the worldwide rights and contracts for all of Progressive's proprietary table game titles including Caribbean Stud® and Texas Hold 'Em® Bonus Poker.

In addition, the companies are expected to negotiate a technology license whereby Shuffle Master will integrate Progressive's Casinolink® Jackpot System's™ ("CJS") progressive jackpot system module for use with certain versions of Shuffle Master's progressive proprietary table games. The CJS module generates jackpot awards and heightened player awareness and play levels in the same manner as slot machine progressive systems.

Dr. Mark Yoseloff, Chairman and Chief Executive Officer of Shuffle Master commented, "We are doubly excited by the opportunity presented by this transaction. The sale of our table game assets to Shuffle Master would place our flagship brands in the hands of the premier worldwide supplier of proprietary table games which we believe will ensure the continued growth of these assets on a global basis. Accordingly, the current and potential growth of the combined installed base of specialty table games is expected to create a meaningful opportunity for placement of our CJS module for table games on a global basis, which would create another long-recurring revenue benefit to Progressive. Upon closing this transaction, Progressive will have successfully transitioned itself to a company with a sole focus on providing advanced systems for the gaming industry with a business model based on recurring revenue that is well positioned to benefit from a streamlined cost structure."

 



Massachusetts tribe scraps proposal

BOSTON, Mass. -- "The leader of the Mashpee Wampanoag Indian Tribe says the latest casino profit-sharing proposal from the Town of Middleborough is profoundly disappointing and that the tribe will scrap it.

"In a letter to Middleborough's Board of Selectmen, Mashpee leader Glenn Marshall says the town is proposing fees and limits on the tribe's authority that would strip members of recently acquired sovereignty. Marshall says the offer is hostile and will not be used in negotiations. Middleborough Selectman Adam Bond says the town did not intend to insult the tribe..."

Pittsburgh casino timeline discussed

PITTSBURGH, Pa. -- "If everything breaks his way, Don Barden hopes to start construction of his $435 million North Shore casino next month.

"The timetable, discussed yesterday at a city planning commission meeting, is contingent on a favorable ruling from the state Supreme Court upholding the award of the Pittsburgh casino license to Mr. Barden's company, PITG Gaming LLC.

"It also is predicated on approval by the planning commission of the casino's foundation and steel work, which will be the subject of a public hearing July 24, with a vote scheduled for Aug. 7.

"But if Mr. Barden gets favorable verdicts on both, he plans to move quickly on construction. His goal is to have the casino finished in 14 to 16 months.

"...The ambitious construction schedule means the slot machine casino would be completed in October or December 2008. After winning the city's lone slots license last December, Mr. Barden had hoped to open the casino in March 2008.

"That timetable was pushed back, however, as Mr. Barden and the two losing bidders, Isle of Capri Casinos Inc. and Station Square Gaming, await a ruling from the Supreme Court.."

 

 

John Mayer

The Borgota, Atlantic City, N.J.: The last few years have seen John Mayer maintaining a frantic pace. In addition to his own writing, recording, and touring, he has collaborated with icons and contemporaries alike - Eric Clapton, B.B. King, Buddy Guy, and Herbie Hancock, as well as Kanye West, the Dixie Chicks, and Alicia Keys. In doing so, Mayer says his own interests have grown and his perspectives expanded.

Mayer also credits his collaboration with Steve Jordan and Pino Palladino (collectively known as the John Mayer Trio) and the intimate-venue tour that produced the 2005 live album TRY! with helping to recalibrate his musical priorities.

While the Trio tour showcased Mayer's blazing fretwork, he says he learned lessons from those shows about restraint. "When I made my first record, there was no trust in space because it was all me, everything was just on those six strings," he says. "With Steve and Pino, it was all about space, using a whole different palette. When your tone is good on the guitar you need, like, four notes. The more concise and right you have it, the less you need around it."

Having just announced a co-headlining tour with Sheryl Crow to help launch CONTINUUM, Mayer is raring to start playing his new material for an audience. "This record is infinitely playable," he says. "I built so many corners into these songs I cannot wait to play them live."
